1. About these Terms

These Terms and Conditions ("Terms") govern your access to and use of the website located at gildhealth.com.au (the "Website") and the Gild gap-payment service (the "Service"), provided by Gild AU Pty Ltd (ACN 652 201 066) ("Gild", "we", "us" or "our").

By creating a Gild account, or by accessing or using the Website or the Service, you ("you" or "your") agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

These Terms should be read alongside our Privacy Policy, which explains how we collect, use and protect your personal information.

2. Who can use Gild

To use the Service, you must:

  • be at least 18 years of age, or have the consent of a parent or legal guardian;

  • hold a valid Medicare card and be eligible to claim Medicare benefits in Australia;

  • provide accurate, current and complete information when creating your Gild account; and

  • keep your account details secure and notify us promptly of any unauthorised use.

You are responsible for all activity that occurs under your account.

3. What Gild does

Gild provides a payment platform that allows you to pay the "gap" - being the difference between the fee charged by your healthcare provider and the Medicare rebate you are entitled to - at the time of your consultation, rather than paying the full consultation fee upfront and waiting for your Medicare rebate separately.

When you use Gild:

  • you authorise us to submit a Medicare claim on your behalf for the relevant consultation, using the Medicare card details you provide;

  • your Medicare rebate is claimed and processed automatically; and

  • you are charged only the gap amount owing for that consultation.

Gild is a payment facilitator. We are not a Medicare provider, a private health insurer, or a healthcare provider, and we do not have any role in the clinical care you receive. Your relationship with your treating practitioner is separate from, and unaffected by, your use of Gild.

4. Your Medicare details and claiming authority

By providing your Medicare card details and using the Service, you authorise Gild to act on your behalf to lodge Medicare claims via our claiming partners, in accordance with the rules of Services Australia. You confirm that:

  • the Medicare card details you provide are your own, or that you are otherwise authorised to use them (for example, as a parent or guardian);

  • the information you provide is accurate and current; and

  • you will notify us promptly if your Medicare card details change or are no longer valid.

Gild is not responsible for delays, rejections or errors in a Medicare claim that result from inaccurate or outdated information provided by you.

5. Payments and fees

  • The amount you pay through Gild reflects the gap fee set by your healthcare provider for the relevant consultation. Gild does not set or influence the consultation fee charged by your provider.

  • Payments are processed securely through our third-party payment processor. Gild does not store your full card details.

  • You will be shown the amount payable before you confirm payment. By confirming, you authorise Gild to process that payment.

6. Accuracy of information

While we take care to ensure the Service operates reliably, Medicare rebate amounts, claim outcomes and processing times are ultimately determined by Services Australia, not by Gild. We do not guarantee the amount of any rebate or the timing of any claim outcome.

7. Privacy and security

We take the security of your personal and Medicare information seriously. Personal information is collected, used, held and disclosed in accordance with our Privacy Policy and the Australian Privacy Principles under the Privacy Act 1988 (Cth). Payment information is protected using bank-level encryption and industry-standard security practices.

We do not sell your personal information to third parties.

8. Third-party services

The Service relies on third-party infrastructure, including payment processing and Medicare claiming services provided by our technology partners. Your use of the Service is also subject to the applicable terms of those third parties where relevant. We select our partners carefully, but we are not responsible for outages, errors or delays caused by third-party systems that are outside our reasonable control.

9. Intellectual property

All content on the Website, including text, graphics, logos and software, is owned by or licensed to Gild and is protected by Australian copyright and trade mark law. You may not copy, reproduce, distribute or create derivative works from any part of the Website without our prior written consent.

10. Suspension and termination

We may suspend or terminate your access to the Service if:

  • we reasonably suspect fraudulent, unlawful or unauthorised use of your account;

  • you breach these Terms; or

  • we are required to do so by law or by a direction from Services Australia or another regulator.

You may close your Gild account at any time by contacting us.

11. Limitation of liability

To the maximum extent permitted by law, and without limiting any rights you have under the Australian Consumer Law, Gild's liability to you in connection with the Service is limited to the resupply of the Service or the amount you paid to use the Service in the relevant transaction, whichever is applicable.

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy conferred on you under the Australian Consumer Law or any other law that cannot lawfully be excluded.

12. Indemnity

To the extent permitted by law, you agree to indemnify Gild against any loss, cost or claim arising from your breach of these Terms or your misuse of the Service, except to the extent caused by our negligence or wrongful act.

13. Changes to these Terms

We may update these Terms from time to time to reflect changes in our Service, technology or legal obligations. Where changes are material, we will take reasonable steps to notify you, including by posting an update on the Website. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. Governing law

These Terms are governed by the laws of Queensland, Australia, and you submit to the non-exclusive jurisdiction of the courts of that State or Territory.
